General Terms and Conditions (GTC)

of Centropy Lights UG (haftungsbeschränkt) for orders placed in the FlashyHue online shop (flashyhue.com)
Version: 30 September 2026

§ 1 Scope

(1) These GTC apply to all contracts for the supply of goods that you conclude with us as a customer via our online shop at flashyhue.com. We do not accept conflicting or deviating terms of customers unless we expressly agree to their validity in writing.

(2) A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or profession (Section 13 German Civil Code, BGB). A business customer (entrepreneur) is a natural or legal person or a partnership with legal capacity acting in the exercise of its trade, business or profession when concluding the transaction (Section 14 BGB).

(3) Provisions that expressly apply only to business customers do not apply to consumers. Individually agreed terms (e.g. quotes for custom orders or white-label orders) take precedence over these GTC.

§ 3 Conclusion of the contract

(1) The presentation of products in the online shop is not a legally binding offer but a non-binding invitation to you to order goods.

(2) The ordering process works as follows:

  1. You select a product and, where applicable, a variant (e.g. colour) and place it in the cart using the “Add to cart” button.
  2. In the cart you can change quantities or remove items and proceed to checkout via the “Check out” button or via an express checkout option shown.
  3. In the checkout you enter your contact details (in particular your email address), your delivery address and, if different, your billing address, and choose the shipping and payment method.
  4. Before submitting, you are shown an overview of all items, prices, shipping costs and the total amount, which you can check.
  5. By clicking the “Pay now” button (or an order button labelled with an equally unambiguous wording) you submit a binding offer to purchase the goods in the cart. For certain payment methods you are redirected to the respective payment service provider and then returned to the shop.

(3) Until you submit the order you can correct your entries at any time using the usual keyboard and mouse functions, return to earlier steps or to the cart via the checkout navigation, and change or remove items. You can cancel the ordering process at any time by closing the browser window.

(4) Immediately after submitting the order you receive an order confirmation by email. With this order confirmation we accept your offer and the purchase contract is concluded.

(5) Should an ordered item exceptionally not be available, we will inform you without undue delay and refund any payments already made without undue delay. Your statutory rights remain unaffected.

§ 4 Contract language, storage of the contract text

(1) The contract language is German. Translations of these GTC and our other legal texts are for your information only; only the German version is legally authoritative.

(2) We store the contract text. You receive the order details by email with the order confirmation. You can access, print or save these GTC at any time at flashyhue.com/policies/terms-of-service. If you use a customer account, you can also view your orders there.

§ 5 Prices and shipping costs

(1) All prices stated in the shop are final prices in euros and include statutory VAT.

(2) Shipping costs may be charged in addition to the prices. Their amount is set out in our shipping policy and is shown to you in the cart and in the checkout before you place your order.

(3) For deliveries outside the European Union, customs duties, taxes and fees may additionally apply (see § 8).

§ 6 Payment

(1) The payment methods available in each case are shown to you in the checkout; the selection may vary depending on the delivery country and the order. They include in particular credit and debit cards, digital wallets (e.g. Apple Pay, Google Pay, Shop Pay) and other payment methods offered by our payment service providers (e.g. PayPal, Klarna or country-specific methods).

(2) The purchase price is due upon conclusion of the contract unless otherwise stated for the chosen payment method. Payment is processed by the respective payment service provider; its terms, which you will be referred to during the payment process, apply in addition.

§ 7 Delivery and passing of risk

(1) We deliver to the delivery address you provide in the countries selectable in the checkout. Delivery areas, shipping methods and delivery times are set out in our shipping policy or in the respective product description.

(2) For payment methods where payment is triggered during the ordering process (e.g. card, wallet, PayPal), the delivery period begins on the day after the payment order is placed; for other payment methods (e.g. purchase on invoice) it begins on the day after conclusion of the contract. If the period ends on a Saturday, Sunday or public holiday at the place of delivery, it ends on the next working day.

(3) We are entitled to make partial deliveries where this is reasonable for you. You will not incur any additional shipping costs as a result.

(4) If you are a consumer, the risk of accidental loss and accidental deterioration of the goods passes to you, even in the case of shipment, only when the goods are handed over to you or to a person you have designated to receive them. If you are a business customer, the risk passes to you when the goods are handed over to the carrier.

(5) Delivery is made exclusively to delivery addresses within the Federal Republic of Germany. We do not offer delivery abroad. If the customer forwards the goods abroad themselves or through third parties, the customer bears the costs incurred for this (in particular shipping costs, customs duties and import charges) and is personally responsible for complying with the import and product regulations applicable in the country of destination. The customer’s statutory warranty rights and our liability under § 12 remain unaffected by this.

§ 8 Customs and import duties for deliveries outside the EU

(1) For deliveries to countries outside the European Union (e.g. Switzerland, the United Kingdom, Norway) and to territories that do not belong to the customs or VAT territory of the EU (e.g. the Canary Islands, Ceuta, Melilla, the Åland Islands), customs duties, import VAT and customs clearance fees may be incurred. These costs are not included in our prices and shipping costs and are borne by you unless expressly stated otherwise in the checkout. They are usually collected from you directly by the carrier or the customs authority of the destination country.

(2) You are responsible for complying with the import regulations of the destination country.

§ 9 Retention of title

(1) The goods delivered remain our property until paid in full.

(2) For business customers only, the following applies in addition: we retain title to the goods until all claims arising from the ongoing business relationship have been settled in full. You may resell the goods subject to retention of title in the ordinary course of business. You hereby assign to us any resulting claims against third parties in the amount of the respective invoice amount (including VAT); we accept the assignment. You remain authorised to collect these claims as long as you properly meet your payment obligations towards us.

§ 10 Right of withdrawal

(1) Consumers have a statutory right of withdrawal. Details, in particular on the period, exercise and consequences of withdrawal, as well as the model withdrawal form, can be found in our cancellation policy. In the event of withdrawal you bear the direct costs of returning the goods.

(2) Pursuant to Section 312g (2) no. 1 BGB, there is no right of withdrawal for contracts for the supply of goods that are not prefabricated and for whose production an individual selection or specification by the consumer is decisive or which are clearly tailored to the consumer’s personal needs (e.g. individually designed or printed custom items).

(3) Business customers have no statutory right of withdrawal.

§ 11 Liability for defects (warranty)

(1) The statutory rules on liability for defects apply.

(2) Please report obvious transport damage to the delivery agent as soon as possible and inform us (e.g. by email with photos). This helps us to assert claims against the shipping provider. If you are a consumer, failure to do so has no effect on your statutory rights.

(3) For business customers only, the following applies in addition: the limitation period for claims for defects in newly manufactured goods is one year from delivery. This does not apply to claims for damages (§ 12 applies to these), in the case of fraudulent concealment of a defect, where a guarantee has been given, or to recourse claims under Sections 445a, 445b, 478 BGB. For merchants, the duty to inspect and give notice of defects under Section 377 of the German Commercial Code (HGB) applies.

(4) We only give a guarantee in the legal sense if it is expressly designated as such and its conditions are stated.

§ 12 Liability

(1) We are liable without limitation for damage resulting from injury to life, body or health, for damage caused by intent or gross negligence, in the case of fraudulent concealment of a defect, where a guarantee has been given, and under the German Product Liability Act.

(2) In the event of a slightly negligent breach of essential contractual obligations, our liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance you may regularly rely.

(3) Otherwise, our liability for slightly negligent breaches of duty is excluded.

(4) The above provisions also apply in favour of our legal representatives, employees and vicarious agents.

§ 13 Dispute resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. If you have any questions or complaints, please contact us directly: info@flashyhue.com.

§ 14 Applicable law, place of jurisdiction

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection afforded by the mandatory provisions of the law of the country in which you have your habitual residence.

(2) If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is our registered office in Schorndorf, Germany.
